General Purpose: Seeking a full time Vice President to join a growing Transaction Advisory practice as a team member to lead buy side and sell side tax due diligence, tax structuring and tax modeling engagements for private equity and corporate clients. Transaction Advisory team members engage in assessing a company's tax risks and opportunities, applying and interpreting income tax law as it relates to various legal structures including S corporation, C corporations, partnerships and conducting comprehensive discussions with management and their advisors.

Major Duties and Responsibilities:

  • Supervising analysts and associates
  • Ability to multi-task and manage multiple projects and other administrative tasks
  • Identify key tax risks and opportunities
  • Analyze detailed tax computations / models and assist clients in quantitative and qualitative analysis of the impact on the transaction
  • Generate a due diligence report to organize and communicate our findings
  • Lead due diligence calls and meetings with client and target company management
  • Provide insights to purchase agreement and other deal documents
  • Actively involved in business development including client pursuits and proposals
  • Participating in the hiring and training of analysts and associates
  • Analyze complex ideas or proposals and build a range of meaningful recommendations
  • Simplify complex messages, highlighting and summarizing key points
  • Address sub-standard work or work that does not meet firm's / client's expectations
  • Look for opportunities to scale efficiencies and new ways of working across multiple projects and environments

Knowledge, Skills & Abilities:

  • Knowledge of U.S. GAAP and SEC reporting
  • Excellent verbal and written communication skills
  • Highly proficient in Excel and PowerPoint

Education and/or Training:

  • Bachelor's or Master's degree in Accounting or related major, JD or LLM
  • Minimum 5+ years of tax experience in Big Four, law firm or large corporate tax department
  • Tax due diligence, structuring and planning experience
  • Certified Public Accountant (CPA) or licensed attorney

It is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case.
