DIVISION:

Corporate POSITION SUMMARYThe Paralegal III will support the delivery of quality legal services to the company by performing tasks that require the regular exercise of advanced judgment as to the method and manner of performing services and significant substantive knowledge and specialization in their area(s) of expertise. Under minimal general direction and supervision, the Paralegal III will be responsible for crafting, reviewing and revising in-depth, complex commercial contracts and other legal documents which may include, real estate transactional documents and title work, collateral documents, and corporate governance documents and filings; researching and interpreting statutes and regulations; leading M&A process, M&A documentation and project management. The Paralegal III role may overlap with the Paralegal I and Paralegal II roles, and many of the areas of responsibility may be similar; however, the Paralegal III is expected to work at a higher level of expertise and at a more strategic level. The Paralegal III is also expected to exercise leadership in coordinating work, mentoring Paralegal I and Paralegal II team members in their area(s) and across other transaction practice areas, and proactively providing support on the matters to which they are assigned.

This position can work an on-site or hybrid schedule in Appleton, WI. JOB RESPONSIBILITIES

Essential Job Responsibilities:

  • Draft legal documents including complex commercial contracts and leases, purchase and sale agreements; real estate documents, collateral and other security documents, confidentiality agreements, corporate governance documents, and correspondence
  • Research case law, statutes, regulations, and secondary legal resources
  • Accountable for assigned area of expertise
  • Lead administration of assigned acquisitions, divestitures, investments, and real estate transactions and assist with related processes
  • Assist with corporate licensing and other legal compliance functions or filings
  • Proactively identify issues and anticipate the support needs on each assigned matter; delegate tasks as appropriate to Paralegal 1 and Paralegal 2 team members, coordinating and supervising the work as needed.
  • Mentor Paralegal 1 and Paralegal 2 team members and provide orientation and training to new Legal team members.
  • Perform initial matter intakes; manage and administrate the flow of contracts; calendar key contract dates
  • File/record, track, and calendar collateral/security documents
  • Maintain electronic files in organized manner in accordance with set processes
  • Build and maintain positive internal partner and external customer relationships

QUALIFICATIONS

Required:

  • At least 7 years prior relevant experience in either a law firm or corporate legal department with significant substantive knowledge of the procedures, terminology and documents relating to one or more areas of expertise as required to meet department needs:

Real estate transactions including title work Commercial contracts & leases

Corporate records Corporate governance

Litigation and Worker's Compensation Intellectual Property

Tech, Innovation & Sustainability Renewable Energy

  • Highly motivated, involved professional who demonstrates continuous professional development and ability to work independently with a strong sense of urgency under minimal supervision
  • Demonstrated expertise in reviewing, drafting, revising and negotiating complex contracts
  • Superior research, communications, and writing skills including expert proofreading and editing ability
  • Exceptional analytical skills with adeptness at identifying and articulating legal issues and risks as well as recommending and implementing appropriate courses of action
  • Competent in utilizing technology and capable of readily adapting to new software and applications
  • Thorough knowledge of Microsoft 365
  • Organized and detail-oriented with strong time-management skills and ability to prioritize and perform well under pressure of deadlines in a fast-paced environment; ability to coordinate multiple projects concurrently.
  • Collaborates effectively with Legal team members as well as throughout the company
  • Performs and leads/co-leads complex activities with minimal supervision
  • Working knowledge of industry and company acumen
  • Ability to help establish and enforce department and company procedures as they relate to legal projects and assignments

Preferred:

  • Bachelor's degree preferred
  • ABA paralegal certificate or paralegal associate degree preferred
  • Wisconsin State Bar Paralegal Certification preferred
